Article 1. GENERAL Farm to Fork is a product of Verdoco bv, BE 0809.575.559, Elsboslaan 9, 9840 De Pinte

Article 2. APPLICATION OF GENERAL TERMS AND CONDITIONS By placing an order, the customer acknowledges that he has taken note of these general terms and conditions and that they will apply to all existing and future legal relationships with Verdoco bv. These general terms and conditions always take precedence over any terms and conditions of the customer, which are not opposable to Verdoco bv, even if they determine that they are the only ones. The invalidity of a provision of these general terms and conditions does not affect the validity of the other provisions of the general terms and conditions, which remain applicable in full. Any deviation from these general terms and conditions must be the subject of a written confirmation between Verdoco bv and the customer. Such deviation is only valid for the specific agreed case and can never be regarded as a precedent. The – even repeated – non-application by Verdoco bv of any right can only be regarded as tolerating a certain situation and does not lead to processing of rights. Verdoco bv reserves the right to change and/or supplement the general terms and conditions at any time. A change will not affect existing agreements.

Article 3. CONTENTS ‘Content’ is understood to mean all products, texts, images, descriptions and other data mentioned on any communication from Verdoco bv, including, but not limited to, e-mails, websites or catalogues. Verdoco bv cannot guarantee that the content does not contain errors, omissions or typographical errors or that the information is always up-to-date. Verdoco bv has the right to adapt, change or remove the content at any time, without prior notice. The content of the various forms of communication of Verdoco bv is not binding and is only intended for informational purposes. All images and photos of products are purely indicative. The settings of a screen on which the customer visits a website or in which e-mails are opened may cause the colors of the depicted products to differ. The print reproduction of catalogs and related documents can also cause color deviations. The Verdoco bv website is intended to provide general information to the customer about its products and activities. Verdoco bv only has a best efforts obligation with regard to the access, the ordering process, the delivery or the other services. Verdoco bv cannot be held liable if for whatever reason the website is not available for a certain period of time and does not guarantee that access to the website will be uninterrupted, timely or error-free. Users may view and print the information on the website free of charge for personal use, but not for commercial purposes.

Article 4. CONCLUSION OF AGREEMENT With an online order for Farm to Fork, all steps of the ordering process must be completed. Any person placing an order confirms that they are commercially competent. The options indicated by the system during the online order in terms of time of delivery are based on availability at the time of the online order. Placing an online order by the customer does not create an agreement with Verdoco bv. In the event that Verdoco bv is unable to execute the order for objective reasons – such as but not limited to the products ordered being out of stock – Verdoco bv will inform the customer of this as soon as possible. . Payments already made will be refunded within 14 calendar days. Under no circumstances can compensation be claimed from Verdoco bv. Placing the order implies a payment obligation.

Article 5. PERFORMANCE AGREEMENT Verdoco bv is only bound to deliver the products and/or perform the services as specifically described in the order confirmation or the other documents that form part of the agreement. All products and services that are not explicitly provided are charged additionally to the customer, regardless of whether they are the result of a change in the order by the customer, unforeseen circumstances or any other reason.

Article 6. CANCELLATION AGREEMENT The customer-consumer does not have a right of withdrawal for the online purchases of Verdoco bv via the Farm to Fork webshop in accordance with the provisions of Book VI of the Code of Economic Law, since these purchases relate to the delivery of goods that have a limited shelf life. and can spoil quickly (Article VI.53, 4° Code of Economic Law).

Article 7. DELIVERY Products are only delivered in the areas for which Verdoco bv accepts the order. Deliveries are made by Verdoco bv or its logistics partner to the delivery address specified by the customer. Deliveries of orders on the webshop are standard (excluding holidays and bridge days) on the specified days. The customer must ensure that the delivery can be made to the indicated address. If delivery is not possible, you are in default with regard to acceptance, any costs and damage will then be for your account. If the personal delivery of the products is not possible, the agreement can be fulfilled by offering the products to neighbors or by placing them in front of the door of the home, or at another specified place. You can indicate this as a delivery note during the checkout. Delivery in this way is entirely at your risk and Verdoco bv is not responsible for any spoilage or disappearance of the products. The delivery note is not binding and Verdoco bv may deviate from it, for example in the event of (extreme) weather conditions where the quality of the products can no longer be guaranteed or in other cases of force majeure. If the goods cannot be delivered to the specified addresses, they will be dropped off at the door of the specified delivery address. At that time, the ownership and risk is transferred. Incorrect delivery addresses are the responsibility of the customer and may lead to additional costs. The stated delivery times are not binding, but are given purely as an indication. Verdoco bv has the right to make partial deliveries. In the event of non-delivery of the goods, any sums paid by the customer will be refunded without interest or other compensation. The customer is responsible for all additional taxes and charges. Verdoco bv takes no responsibility for late deliveries as a result of unforeseen circumstances caused by third parties. No delay in delivery can give rise to termination of the purchase or payment of damages in favor of the customer, except in the case of deliberate delay. Verdoco bv undertakes to pack the products to be delivered as carefully as possible in order to exclude the risk of damage during normal handling. To the extent permitted by law, Verdoco bv is not liable for losses, costs, liability, damage, fines or expenses arising from a delay or non-delivery. For the time being, only in the provinces of Antwerp, Flemish Brabant, East Flanders, West Flanders and the Brussels region.

Article 8. PRICE All product prices are in euros and include VAT. Additional costs, such as delivery costs where applicable, are always stated separately. Verdoco bv reserves the right to adjust the prices at any time. The price owed by the customer is the price as shown on the order confirmation.

Article 9. PAYMENT Online orders via the Farm to Fork webshop of Verdoco bv must be paid immediately via the online payment instruments offered. For online payments, Verdoco bv calls on external professional and specialized partners who manage a payment platform. The customer’s financial data entered in the context of an online payment are only exchanged between the external partner and the financial institutions involved. Verdoco bv has no access to the confidential financial data of the customer. Online payments are made using secure protocols. All online payments are subject to the terms and conditions of the external administrator of the payment platform, who bears sole responsibility for the correct execution of all online payments. Unless expressly agreed otherwise, Verdoco bv is not obliged to deliver or execute as long as the online order has not been paid in full. By placing an online order, the customer expressly agrees to the use of electronic invoicing by Verdoco bv. Invoices can only be validly protested by registered letter within five working days of the invoice date, stating the invoice date and number and a detailed justification for the protest.

Article 10. COMPLAINTS Verdoco bv guarantees the quality and freshness of its products during the normal consumption period for the products concerned, provided that the customer stores the products in adequate conditions (including cooling). The customer must verify the products of Verdoco bv immediately after delivery, including (but not exclusively) with regard to conformity, correct quantities, visible defects. Complaints with regard to the products of Verdoco bv are only taken into account if the customer stated on the signed delivery note or, in the absence of a delivery note, has transferred this to Verdoco bv in writing, electronically or by telephone within a period of two (2) hours after the products have been delivered or after the agreed time at which the products should have been delivered. After detecting any defect, the customer is obliged to immediately stop using the products concerned. In any case, complaints must always be submitted in writing or electronically to Verdoco bv, with identification of the goods/services involved and a detailed motivation for the complaint. In the absence of a timely written complaint, the customer is deemed to irrevocably accept the delivered goods and services. After establishing any shortcoming or an alleged defect, the customer is obliged to do and have everything reasonably possible to prevent (further) damage. The customer is obliged to reimburse the costs incurred as a result of unjustified complaints

Article 11. LIABILITY Verdoco bv is not liable for general or special indirect damage, of whatever nature, suffered by the customer. Verdoco bv’s liability is in any case limited – at the discretion and discretion of Verdoco bv – to the (re)delivery of the missing or defective products. If redelivery / re-execution is not (any longer) possible or useful, the customer is entitled to a refund of the price of the missing or defective products and/or services. In any event, Verdoco bv’s liability will never exceed the invoice value of the missing or defective products or services. Verdoco bv’s liability is limited to the liability imposed by law. Under no circumstances can the customer claim indemnification by Verdoco bv for:

– Defects that are directly or indirectly caused by an act of the customer or a third party, regardless of whether this was caused by an error, negligence or carelessness;

– Problems with the freshness or quality of products due to consumption after the normal consumption period of the products or due to storage in inappropriate conditions (including refrigeration, humidity or external odours). Of course, Verdoco bv cannot be held liable for allergic or other reactions as a result of the consumption of the products.

Article 12. FORCE MAJEURE AND HARDSHIP Verdoco bv and the customer are not liable for a shortcoming in the fulfillment of their obligations, caused by force majeure or hardship. Cases of force majeure or hardship give Verdoco bv the right, at its own discretion, to temporarily suspend the fulfillment of its own obligations and/or to revise the contractual conditions and/or to terminate the agreement by simple written notification to the customer, without that Verdoco bv owes or may be liable for any compensation. In all these cases, the customer will be obliged to pay for all products and services already delivered on the date of suspension, revision or termination, and for all costs incurred or to be incurred by Verdoco bv as a result of the suspension, revision or termination. termination. Article 13. INTELLECTUAL PROPERTY RIGHTS Verdoco bv has all intellectual property rights with regard to the name, concept, logo and website and all content contained therein, both in terms of content and graphics (including photos). Under no circumstances is it permitted to copy images, photos, texts, logos, recipes or any other protected information without the explicit and written permission of Verdoco bv.

Article 14. PROCESSING CUSTOMER DATA AND PRIVACY When products are purchased, the customer explicitly agrees that his/her personal data may be used for administrative purposes, such as for deliveries and invoices. The information provided by the customer is necessary for the processing and completion of orders and invoicing. By placing an order for a product, the customer data ends up in the customer database of Verdoco bv, which will never pass this personal information on to third parties, unless this is explicitly requested by judicial authorities or when it is legally obliged to do so, or in the event of non-payment, it is forced to pass this on to a collection agency. The customer has the right to object free of charge to the processing of his/her personal data for direct marketing initiatives. The customer has the right to view, change or have his or her personal information removed. This can be done by email info@farmtofork.be.

Article 15. COMPETENT COURTS AND APPLICABLE LAW In the event of a dispute about these general terms and conditions, as well as about any other agreement concluded between Verdoco bv and the customer, only the territorially competent courts and tribunals of the registered office of Verdoco bv are competent.

Belgian law applies.
